Telegraaf Media Groep and SBS Broadcasting S.à.r.l.

Lavena Holding 4 GmbH, which is controlled by funds advised by Kohlberg Kravis Roberts & Co. (KKR) and Permira Advisers LLP (Permira), signed a share purchase agreement for the acquisition of German Media Partners L.P.'s majority stake in ProSiebenSat.1 Media AG, Germany's largest TV broadcasting group.

 
Furthermore, Lavena Holding 4 GmbH has announced its intention to launch a voluntary public takeover offer to the shareholders of ProSiebenSat.1 Media AG.
 
After completion of all regulatory proceedings and the voluntary takeover offer, the new investors will consider a possible business combination with the broadcasting group SBS Broadcasting S.à.r.l. (SBS), which is for 20% owned by Telegraaf Media Groep N.V. and for a majority by KKR and Permira. SBS has a strong presence in Belgium, the Netherlands and Luxembourg as well as in Scandinavia and Eastern Europe.
 
Telegraaf Media Groep has been kept informed of the above mentioned intentions of KKR and Permira. In the coming period the parties involved will together consider the possibilities and consequences of the new situation.
